These Terms of Use ("Terms") govern your access to and use of SamtDB (the "Service"), a software-as-a-service (SaaS) offering provided by AI-First Analytics, Inc. ("Company," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Your use of the Service is also governed by our separate Privacy Policy.

1. The Service

SamtDB is provided on a software-as-a-service (SaaS) basis. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.

We make no commitment to maintain, support, update, or continue the Service or any particular feature.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

3. Accounts and Access

If the Service requires an account:

  • You are responsible for maintaining the confidentiality of your credentials.
  • You are responsible for all activity that occurs under your account.
  • You may not share your account or credentials with third parties.
  • We may suspend or terminate accounts at our sole discretion.

4. Acceptable Use

You agree not to:

  • Use the Service for unlawful purposes
  • Interfere with or disrupt the Service or its infrastructure
  • Attempt to reverse engineer, decompile, or extract source code
  • Use the Service in a way that infringes intellectual property or privacy rights
  • Use the Service to develop or provide competing products or services

We reserve the right to investigate and take appropriate action for violations.

5. Intellectual Property

All rights, title, and interest in the Service, including software, documentation, and branding, are owned by AI-First Analytics, Inc. or its licensors.

These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Service solely as permitted by these Terms.

You retain all rights to data or content you submit to the Service. You grant us a limited license to process such data solely as necessary to provide, maintain, and improve the Service.

6. Fees and Payment

Certain features of the Service require payment of fees. By selecting a paid plan, you agree to pay all applicable fees in accordance with the pricing and billing terms presented to you at the time of purchase.

  • Fees are billed in advance on a recurring basis (e.g., monthly or annually), unless otherwise stated.
  • All fees are non-refundable, except as required by law or explicitly stated otherwise.
  • We may change pricing or fees at any time. Price changes will apply to future billing periods.
  • You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities, excluding taxes based on our income.

Payments are processed by third-party payment processors. We do not store full payment card information.

Failure to pay applicable fees may result in suspension or termination of your access to the Service.

7. Trials and Free Tiers

We may offer free trials or free-tier access to the Service at our discretion. We reserve the right to modify or discontinue any free access at any time, with or without notice.

8. No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY, RELIABILITY, OR COMPLETENESS
  • AVAILABILITY, UPTIME, OR ERROR-FREE OPERATION
  • WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE

We do not guarantee that:

  • The Service will be uninterrupted or secure
  • Errors or bugs will be corrected
  • Data will not be lost

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES
  • OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM

This limitation applies regardless of the theory of liability.

10. Indemnification

You agree to indemnify and hold harmless AI-First Analytics, Inc. and its officers, directors, and employees from any claims arising out of your use of the Service or violation of these Terms or applicable law.

11. Termination

We may terminate or suspend your access to the Service at any time, for any reason, including for non-payment of fees, without notice.

Upon termination, your right to use the Service immediately ceases.

Sections 5 through 11 shall survive termination.

12. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Any disputes arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in the State of Delaware.

13. Changes to These Terms

We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms.
